Die Gräfin Orsina und der Familienvater Odoardo Galotti treffen ein. Orsina warnt Galotti vor der Gefahr, die seiner Tochter bevorsteht, und gibt ihm ihren Dolch, mit dem er den Prinzen töten und so Appiani und sich selbst rächen soll. Emilia, die den Prinzen verabscheut, aber dennoch seinen Verführungskünsten zu erliegen glaubt, fleht ihren Vater an, ihr den Dolch zu überlassen, um sich zu töten. Der zunächst zögernde Galotti erkennt seine verzweifelte Lage erst, als Emilia ihm das Beispiel des römischen Virginius vorhält, und ersticht seine Tochter. Der Prinz begreift seine Schuld, schiebt aber alle Verantwortung auf seinen Kammerherrn.
